Welcome to Renderique. By accessing or using our service, you agree to be bound by these Terms of Service and our Privacy Policy. Please read these terms carefully before using our service.

1. Acceptance of Terms

These Terms of Service constitute a legally binding agreement between you and nemo.ai inc. ("Nemo.ai," "we," "us," or "our") governing your use of Renderique, an AI-powered product photography service for Shopify merchants.

2. The Renderique Service

Renderique is a cloud-based service that provides AI-powered product photography capabilities for Shopify online stores. The service:

• Transforms product images using artificial intelligence
• Offers multiple professional photography styles
• Integrates directly with Shopify stores
• May be modified, updated, or discontinued without prior notice

3. Eligibility

You must be at least 13 years old to use Renderique. By using our service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms of Service.

4. User Responsibilities

As a user of Renderique, you are responsible for:

• The content and accuracy of product images you upload to the service
• Ensuring you have the necessary rights to use and transform the images
• Complying with all applicable local, state, national, and international laws
• Obtaining appropriate consent from customers for data handling as required by law
• Maintaining the security of your account credentials
• All activities that occur under your account

5. Acceptable Use

You agree not to:

• Upload images containing illegal, harmful, or inappropriate content
• Use the service to infringe on intellectual property rights of others
• Attempt to reverse engineer, decompile, or extract the AI models or algorithms
• Use the service in any way that could damage, disable, or impair our servers
• Resell or redistribute the service without explicit written permission

6. Information Collection and Privacy

Our servers collect and process information automatically when you use Renderique. This includes product images, store information, and usage data. All data collection and processing is subject to our separate Privacy Policy. By using Renderique, you consent to such collection and processing.

Data may be stored and processed in the United States and other jurisdictions where we or our service providers operate.

7. Fees and Payment

Renderique operates on a subscription-based pricing model:

• We offer a free trial period with limited photo generations
• Paid subscriptions provide monthly photo generation allowances
• Photo allowances reset at the beginning of each billing cycle
• Fees are charged in advance and are non-refundable except at our sole discretion
• We reserve the right to modify pricing with 30 days' notice

8. Intellectual Property

You retain ownership of the original product images you upload. Generated images created through Renderique are subject to the following:

• You receive a non-exclusive, worldwide license to use generated images for commercial purposes
• Nemo.ai retains the right to use generated images for service improvement and marketing purposes
• The Renderique name, logo, and all related trademarks are property of nemo.ai inc.

9. Warranty Disclaimer

RENDERIQUE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that:

• The service will be uninterrupted or error-free
• Generated images will meet your specific expectations
• Any errors or defects will be corrected
• The service will be available at any particular time or location

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEMO.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising from your use of Renderique shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless nemo.ai inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of Renderique
• Your violation of these Terms of Service
• Your violation of any rights of another party
• Content you upload or generate through the service

12. Termination

Either party may terminate this agreement at any time:

• You may cancel your subscription through your account settings or by contacting support
• We may suspend or terminate your access for violations of these terms
• Upon termination, your right to use Renderique immediately ceases
• Provisions regarding intellectual property, disclaimers, and limitations of liability survive termination

13. Modifications to Service and Terms

We reserve the right to modify or discontinue Renderique, temporarily or permanently, with or without notice. We may also modify these Terms of Service at any time. Continued use of the service after changes constitutes acceptance of the modified terms.

14. Governing Law and Dispute Resolution

These Terms of Service are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes arising from these terms or your use of Renderique shall be resolved through binding arbitration in Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction.

15. Integration with Shopify

Renderique integrates with Shopify stores and is subject to Shopify's terms and policies. You are responsible for complying with Shopify's requirements. We are not responsible for changes to the Shopify platform that may affect Renderique functionality.

17. Entire Agreement
